9. EMPLOYMENT RESTRICTIONS & NON-SOLICITATION
9.1 Neither party shall solicit, hire, or engage the employees of the other party during the service period and for 24 months thereafter without prior written consent.
9.2 Violation of this clause may result in legal action and monetary compensation.
10. CLIENT CONTENT & OWNERSHIP
10.1 Clients warrant that all materials provided (text, images, logos, videos, trademarks, etc.) are legally owned or licensed.
10.2 The Client agrees to indemnify 404 Marketers against any claims arising from Client-provided content.
10.3 All deliverables remain the property of 404 Marketers until full payment is received. Ownership transfers upon final settlement.
11. PROJECT EXECUTION & CLIENT RESPONSIBILITIES
11.1 Clients must provide accurate information, approvals, and materials in a timely manner.
11.2 Delays caused by incomplete inputs or feedback are not the responsibility of 404 Marketers.
11.3 Any change in project scope will require a revised quotation and timeline.
12. CONFIDENTIALITY
Both parties agree to maintain confidentiality of proprietary, technical, and business information and disclose it only on a need-to-know basis.
13. TERMINATION AND CANCELLATION
13.1 Either party may terminate services with written notice:
Large projects: 3 months
Small/medium projects: 1 month
Monthly retainers: 15 days
13.2 Advance payments are non-refundable.
13.3 All outstanding dues must be cleared upon termination.
14. PAYMENTS AND TAXES
14.1 Payments must be made as per agreed invoices and timelines.
14.2 All fees are exclusive of applicable taxes.

Late payments may attract penalties or service suspension.
15. HOSTING, DOMAINS & THIRD-PARTY TOOLS
404 Marketers is not responsible for failures or data loss caused by third-party hosting providers, plugins, APIs, or domain registrars.
16. MAINTENANCE SERVICES
Maintenance plans require minimum commitment periods
Unused hours do not roll over
No refunds once services are activated
17. GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India, and resolved through arbitration under the Arbitration and Conciliation Act, 1996.
18. MISCELLANEOUS

404 Marketers does not offer jobs, freelance work, or paid tasks via WhatsApp, Telegram, or social media messages. Beware of scams using our name.
